Terms of Service

These terms are an agreement between you and Netkeel LLC, a Wyoming limited liability company ("Netkeel", "we"). By creating an account or using Netkeel you accept them, together with our Acceptable Use Policy, Privacy Policy and Refund Policy. If you use Netkeel for a company, you accept them on its behalf.
1. Our services
Netkeel creates virtual servers in the region you choose, installs and maintains a web hosting stack on them, and gives you a panel to run websites and applications on those servers (the "Services"). Servers run on infrastructure from third-party cloud providers. We may update or refine the Services to improve them, but we will not materially reduce the core functionality of what you pay for.
2. Your account and responsibilities
You must provide accurate information, keep your login details secure, and be of legal age to enter into a binding contract. You are responsible for all activity in your account, including by team members you invite, and for using the Services in line with applicable law. Tell us at once at support@netkeel.com if you think your account has been accessed without permission.
3. Account review
To protect our network, new accounts and payment methods are subject to fraud and security checks. We may decline, limit or close an account that does not pass these checks, and refund any payment already made.
4. Uptime commitment (SLA)
We commit to 99.9% monthly uptime for each server. Uptime is measured by Netkeel's monitoring and is based on the availability of the affected server during the calendar month.
If a server's monthly uptime falls below 99.9%, you may request a service credit:
- Below 99.9% and at or above 99.5%: 25% of that server's charges for the month
- Below 99.5% and at or above 99.0%: 50% of that server's charges for the month
- Below 99.0%: 100% of that server's charges for the month
The commitment does not cover downtime caused by scheduled or emergency maintenance; third-party networks, DNS, CDN, domain or infrastructure providers; DDoS attacks or other malicious activity; your websites, plugins, themes, code, settings or resource usage; suspension for non-payment or a breach of these terms; or events beyond our reasonable control.
To request a credit, contact support within 30 days of the incident. Approved credits are added to your Netkeel account and used against future charges. Credits cannot exceed that server's charges for the month, have no cash value, and cannot be refunded or transferred. Service credits are your only remedy for missing this commitment.
5. Fees and billing
- You need a valid payment card before you can create a server. You do not pay in advance.
- Each server is billed by the hour from when it is created until it is deleted, up to its monthly price. Prices are shown in the panel before you create a server and are in US dollars.
- We charge your card once a month for the previous month's usage. If your balance passes a set amount during a month, we may charge it earlier.
- If a charge fails, we retry daily and tell you in the panel. If the balance stays unpaid after a grace period, your account is suspended: your websites keep running, but you cannot create new servers until the balance is paid. If it remains unpaid, we may terminate the account as described in section 12.
6. Your obligations
You agree to use Netkeel in a way that does not harm our infrastructure, our providers or other customers. You are responsible for the content of your websites and for making sure it does not infringe the rights of others. Fraudulent, harmful or abusive activity is prohibited.
7. Acceptable use
Your use of the Services is governed by our Acceptable Use Policy. We may investigate suspected violations. Where abuse is confirmed, or an activity threatens the security, stability or integrity of our network, we may suspend or terminate the Services. We may also suspend a server immediately where needed to stop a security threat, prevent disruption, or comply with the law.
8. Your content and backups
You keep all rights to the websites, files and data you put on Netkeel. You allow us to store, copy and process them only as needed to run the Services, for example to make backups. Netkeel makes backups and monitors them, but no automated system is perfect: keep your own independent copies of important data, for example by connecting an off-site backup bucket you control. We are not liable for data loss or corruption, except where the law does not allow this to be limited.
9. Changes to pricing and services
We may adjust prices or infrastructure to reflect changes in operating costs or legal requirements. We will give you at least 30 days' notice by email or in the panel before a price increase applies to servers you already have. Changes never apply to time already used.
10. Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, acts of terrorism, widespread power outages, or failures of global networks or cloud providers.
11. Affiliate program
Taking part in our affiliate program is governed by the Affiliate Program Terms.
12. Ending the agreement
You can stop using Netkeel at any time by deleting your servers and your account in the panel; we bill usage up to that point, and deleted servers and their data cannot be recovered. We may suspend or terminate accounts for non-payment or breaches of these terms. When we terminate an account, we normally keep its data for 7 days so you can retrieve it before it is permanently deleted. This period may not apply in cases of abuse, security threats or legal requirements, or where immediate removal is otherwise necessary. Copies in your own backup bucket stay yours.
13. Limitation of liability
To the extent the law allows, our total liability for any claim related to the Services is limited to the amount you paid for the affected Service in the month before the claim. We are not liable for indirect or consequential losses, lost profits, or problems caused by third-party software or your own code. Nothing in these terms limits liability that cannot be limited by law.
14. Disclaimer
Apart from the commitments in these terms, the Services are provided "as is" and "as available". We work hard to keep them running, but we do not guarantee they will be uninterrupted or error-free.
15. Privacy
Our Privacy Policy explains how we collect, use and protect personal data.
16. Money-back guarantee and refunds
New customers can ask for a full refund within 30 days. Details are in our Refund Policy.
17. Changes to these terms
We may update these terms. Where a change materially affects your rights or obligations, we will tell you by email or in the panel at least 30 days before it applies. If you keep using Netkeel after that, the updated terms apply.
18. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Disputes go to the state and federal courts located in Wyoming, unless the law where you live gives you the right to bring a claim there.
